M&A: Daniel Wanjau advised General Motors in the sale of its entire stake in General Motors East Africa Limited to Isuzu Motors Limited. Andrew Mugambi and Sigee Koech advised Hass Petroleum in a sale of 40% indirect controlling stake in Hass to Oman Trading International. Richard Omwela advised on the sale of a 49.9% equity stake in Weetabix East Africa Limited to Pioneer Foods.

Banking and finance: Andrew Mugambi and Sigee Koech advised a consortium of 10 banks in the restructuring of loans advanced to Kenya Airways PLC worth USD $231 million. Sigee Koech advised Export-Import Bank of China in relation to the financing of a power transmission expansion project

Oil and gas, mining: Andrew Mugambi assisted the Kenyan government in reviewing and analysing mining agreements entered into between the Kenyan government and various mining companies. Daniel Muriu advised on a World-Bank-funded institutional review of all petroleum and non-petroleum institutions involved in oil and gas in Kenya

Dispute resolution: Kiragu Kimani represented Kenya Electricity Generating Company (KENGEN) in regard to a tender awarded by them for the leasing of 50 MW wellheads. The firm has acted for Kenya Wildlife Service in several matters challenging the construction of phase 2A of the standard gauge railway project. Michi Kirimi has represented a client in a suit with a foreign company that had a concessioning agreement of the country’s railway transport. Ken Fraser continues to act for Kenyan Bankers Association (KBA) and two large commercial banks in various dispute resolution and litigation matters

Competition/anti-trust: Daniel Muriu advised Africa Logistics Properties Holdings Limited (ALPH) on the Kenyan competition law aspects relating to an equity capital raising from among others the CDC Group and IFC. Daniel Muriu advised General Motors on the COMESA and Kenya competition law aspects relating to its sale of its 57.3% stake in General Motors East Africa Limited to Isuzu Motors Limited.

Employment: Michi Kirimi represented Telkom Kenya in a litigation over alleged discrimination in the award of redundancy pay. Lorna Mainnah has advised Google Inc on employment matters.

Real estate: Lorna Mainnah and Adil Khawaja advised Africa Logistics Property Limited (ALP) in its purchase of 22 acres for the construction Kenya’s first grade A logistics and distribution warehouse park. Adil Khawaja advised Windflower Limited in the purchase of several office spaces and car parking spaces in the up market area of Nairobi from Delta Properties Limited. Adil Khawaja advised Mara Masai Mara Tourist Development Limited on the purchase of three properties neighbouring the Lake Nakuru National Game Reserve in Kenya.
